1. Agreement
By accessing this website (podfy.net and related subdomains) or requesting a demo, you agree to these Terms & Conditions (“Terms”). Use of the Podfy application at podfy.app may be governed by separate service terms and/or a data processing agreement (DPA) with your organisation. Where there is a conflict between these Terms and the applicable service terms or DPA, the latter take precedence for the scope of that service.
2. Definitions
- “Site” means podfy.net (and subdomains) operated by PODFY.
- “Services” means Podfy’s software and related offerings available via podfy.app, which may be subject to separate terms.
- “You” or “User” means the person or entity that accesses the Site.
- “Content” means text, graphics, logos, UI, and other materials on the Site.
3. Scope of Use & Acceptable Use
You may use the Site for informational purposes and to request demonstrations of Podfy products. You agree not to:
- Use the Site unlawfully or in violation of applicable laws and regulations.
- Disrupt, interfere with, or attempt to gain unauthorized access to the Site or associated systems.
- Introduce malware, automated scripts, or other harmful code.
- Scrape or crawl the Site without prior written consent.
- Misrepresent your identity or provide false, inaccurate, or misleading information.
4. Intellectual Property & Logos
- All Content (including text, graphics, illustrations, UI elements, and the Podfy logo) is owned by PODFY or its licensors and protected by intellectual property laws.
- Logos displayed on the Site that are not the Podfy logo are owned and provided by (potential) customers. PODFY does not claim ownership over those third-party logos and displays them with permission or legitimate interest.
- Except where explicitly permitted, you may not copy, reproduce, modify, distribute, publicly display, or create derivative works from any part of the Site.
5. Third-Party Content & Links
The Site may reference or link to third-party websites or materials. PODFY is not responsible for and does not endorse third-party content. Accessing third-party sites is at your own risk and may be subject to separate terms and policies.
6. Privacy & Data Protection
Personal data processed through the Site is handled in accordance with our Privacy Notice. If PODFY processes personal data on behalf of a customer, such processing is governed by a separate DPA. For demo requests, you consent to us using the contact details you provide to respond to your inquiry.
8. No Warranties
The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by Dutch law, PODFY disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. PODFY does not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components, nor that defects will be corrected. We may modify, suspend, or discontinue content or access at any time without notice.
9. Limitation of Liability
To the maximum extent permitted under Dutch law, PODFY shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation loss of profits, revenue, data, goodwill, or business interruption, arising out of or in connection with (a) your access to or use of, or inability to access or use, the Site or any tools; (b) any third-party content; or (c) any changes we make to the Site. Your sole and exclusive remedy is to stop using the Site.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by law (including liability for intent or gross negligence).
10. Indemnification
You agree to defend, indemnify, and hold harmless PODFY and its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your misuse of the Site or your violation of these Terms.
11. Beta Features & Trials
From time to time we may make beta, preview, or experimental features available (including within demos). Such features are provided “as is,” may be modified or discontinued at any time, and may contain bugs or inaccuracies. To the extent permitted by law, PODFY disclaims all liability arising from your use of beta features.
12. Consumers (if applicable)
The Site is intended primarily for business users. If you are a consumer within the meaning of Dutch law, your statutory rights remain unaffected by these Terms. Where PODFY sells digital services to consumers online, additional consumer-specific terms will apply and will be provided at the point of sale. Any mandatory rights under the Dutch Civil Code regarding distance contracts and consumer protection prevail over conflicting provisions of these Terms.
13. Security Disclosure
We take security seriously. If you believe you have found a vulnerability, please email [email protected] with details and steps to reproduce. Please do not publicly disclose the issue until we have had a reasonable opportunity to investigate and remediate.
14. Notice & Takedown (IP/Content)
If you believe content or a logo on the Site infringes your rights, send a takedown notice to [email protected] including: (a) identification of the content; (b) the rights allegedly infringed; (c) your contact details; and (d) a statement of good-faith belief and authority to act. We may remove or disable access to disputed content while we assess the notice.
15. Changes to the Terms
We may update these Terms from time to time. The most current version will be posted on this page and supersede all prior versions. If changes are material, we may provide additional notice. Your continued use of the Site following the posting of changes constitutes acceptance of the updated Terms.
16. Eligibility
The Site is intended for business and professional use. By using the Site, you represent that you have authority to bind the organisation on whose behalf you interact with PODFY.
17. Feedback License
If you provide ideas, suggestions, or feedback, you grant PODFY a non-exclusive, worldwide, royalty-free, irrevocable, perpetual license to use and incorporate that feedback without restriction or compensation.
18. Export & Compliance
You must comply with applicable export control, sanctions, and anti-corruption laws when accessing or using the Site.
19. Accessibility Statement
PODFY aims to meet or exceed WCAG 2.1 AA guidelines. If you encounter accessibility barriers, please contact [email protected] and we will work to address your concerns.
20. Severability, Waiver & Entire Agreement
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce a provision is not a waiver of our right to do so later. These Terms constitute the entire agreement between you and PODFY regarding use of the Site and supersede prior or contemporaneous understandings on that subject.
21. Governing Law & Venue
These Terms are governed by the laws of the Netherlands. Any disputes arising out of or relating to these Terms will be submitted exclusively to the competent courts of The Hague, the Netherlands.
